Remtoo LLC – Boston English Center , a registered limited liability company in the state of New Jersey, shall be referred to as “Remtoo LLC – Boston English Center” or “we/us” throughout these Terms of Use. This document outlines the conditions governing the use of our Platform, which can be accessed at https://bostonenglishcenter.com . The Platform includes the primary domain and extends to all subdomains, mobile applications, and any other media, locations, applications, etc., owned, managed, or operated by Remtoo LLC – Boston English Center. The term “Platform” denotes the collective infrastructure in these Terms.

Our Terms of Use (“Terms”) encompass our House Rules, Privacy Policy, Cookies Policy, Data Processing Agreement, Content Guidelines, Creator Referral Terms and Conditions, and any additional documents referenced in those agreements. Collectively, these documents govern all aspects of accessing the Remtoo LLC – Boston English Center platform.

When we refer to “You” or “User,” we are addressing the entity you represent by accepting these Terms. In the absence of such representation, we address you as an individual. If you are accepting these terms on behalf of your employer, company, or another entity, you affirm and ensure that (i) you have full legal authority to bind your employer or such entity to these Terms; (ii) you have carefully read and understood these Terms; and (iii) you consent to these Terms on behalf of the party you are representing.

By using our Platform in any capacity, you explicitly indicate your agreement and consent to be bound by these Terms. If you do not agree with these Terms or choose not to be bound by them, it is imperative that you refrain from using or accessing the Platform in any manner.

1 – SMS Communication Policy

Remtoo LLC – Boston English Center may contact you via SMS (text messages) for important updates, appointment reminders, promotional offers, and service-related communications. By providing your phone number, you consent to receiving text messages from us under the following terms:

2 – Terms for Account Usage

2.1 User Accounts

To access certain features of the Platform, it may be necessary to create an account (“Account”). For example, to enroll in a Creator’s course or other services, you are required to establish a Student Account linked to the Creator’s school. By registering for an account, you are obligated to furnish accurate, current, and complete information, and you consent to maintaining the accuracy of your account details by keeping them up to date.

2.2 Remtoo LLC – Boston English Center Limitations

As an express prerequisite for being granted permission to access and utilize Remtoo LLC – Boston English Center, you affirm and guarantee that you (i) are not included in a roster of individuals preventing you from obtaining services under U.S. regulations (including, but not limited to, the Prohibited Individuals Index and the Corporate Roster published by the U.S. Department of Commerce, Bureau of Industry and Security) or any other relevant jurisdiction, and (iii) are not domiciled in Cuba, Iran, North Korea, Syria, Venezuela, or Crimea.

2.3 Minimum Age for Access

To utilize the Platform, individuals must be at least 18 years old. For users aged between 13 and 18, parental or guardian permission is required to access the Platform. By engaging with our Platform, your actions signify that you have secured such permission, and you are confirming and guaranteeing that you possess the necessary authorizations to use our Platform. Individuals under the age of 13 are strictly prohibited from using our Platform in any capacity and are not allowed to register for an account.

2.4 Administrative User Accounts

Within the Remtoo LLC – Boston English Center subscription plan, a Creator, contingent on their chosen plan, has the ability to authorize one or more individuals

(“Non-Primary Owner”) to establish an administrative account connected to the Primary Owner’s school. The Primary Owner is responsible for defining the level of access and permissions granted to Non-Primary Owners. The Primary Owner takes on the responsibility and liability for any actions, omissions, or defaults that may occur due to the use of Non-Primary Owner accounts associated with their schools. These instances are treated as if they were the Primary Owner’s own actions, omissions, or defaults

2.5 Resolving Account Ownership Disputes

In the unlikely event of a dispute concerning account ownership, Remtoo LLC – Boston English Center maintains the right to request additional information from you to verify ownership and settle the dispute. The information that may be requested to assist in resolving ownership disputes includes, but is not limited to, the following:

A copy of your photo ID.

Business documents, such as a Charter, Certificate of Incorporation, LLC Agreement, business license, or other documentation demonstrating ownership of your entity.

Billing information and details.

Certified copies of your tax forms.

Any other documentation that we deem necessary to resolve the dispute.

In the event of a dispute, Remtoo LLC – Boston English Center reserves the right to determine account ownership at its sole discretion and has the authority to transfer the account to the rightful owner, unless otherwise restricted by law.

2.6 Accounts for Creators

To become a part of the Platform as a Creator, you are required to establish a Creator account. Creators are recognized as the contracting party (“Primary Owner”) under our Terms. If you are registering as a Creator on behalf of your employer, your employer will serve as the Primary Owner of the account and any associated school(s). In such instances, utilize your employer-issued email address and verify that you have the legal authority to bind your employer to our Terms.

3 – Remtoo LLC – Boston English Center Services

3.1 The Remtoo LLC – Boston English Center Marketplace Platform

Within the Remtoo LLC – Boston English Center Platform, there exists the Remtoo LLC – Boston English Center Marketplace (“Marketplace”) platform—a marketplace created for Users to discover, and enroll in specific Creator offerings. Marketplace is an essential part of the Remtoo LLC – Boston English Center Platform, and these Terms are entirely applicable to the use of Marketplace. However, in the scenario where you act as a Creator featured on Marketplace, the terms outlined in the Remtoo LLC – Boston English Center Marketplace Platform Agreement will apply and take precedence in the event of any conflicts with these Terms.

3.2 Relationship Between Remtoo LLC – Boston English Center and Users

Remtoo LLC – Boston English Center operates as neither a content provider nor an educational institution. Both Creators and Students are not classified as employees of Remtoo LLC – Boston English Center. Remtoo LLC – Boston English Center does not assume responsibility for interactions between Creators and Students, except for providing the technological infrastructure for Creators to present and share their courses, digital downloads, and other content collectively termed as “Creator Content.” Additionally, Remtoo LLC – Boston English Center, upon each Creator’s decision, facilitates payment processing through Remtoo LLC – Boston English Center’s payment gateway(s). Remtoo LLC – Boston English Center is not liable for any disputes, claims, losses, injuries, or damages that may arise in the Creator/Student relationship, including any reliance by a Student on information provided by a Creator or Creator Content. As detailed in our Privacy Policy, Remtoo LLC – Boston English Center offers Creators limited information about Students enrolled in their services, including name, email address, IP address, and the specific Creator offering in which the Student has enrolled. This information becomes accessible to the Creator only upon the Student’s purchase or enrollment in the Creator’s school. Remtoo LLC – Boston English Center does not transfer Student data to Creators for monetary or other valuable consideration, and Students are entirely responsible for the disclosure and use of any other personal information they choose to share with any Creator on the Platform.

3.3 Remtoo LLC – Boston English Center Platform and its Offerings

Remtoo LLC – Boston English Center provides an easily accessible online platform for content creation, specifically designed to empower individuals known as content creators (“Creators”). The platform facilitates the construction, design, publication, and sale of courses, coaching services (“Coaching”), and other offerings to their audience (“Students”). Each Creator is allocated a dedicated space (“school”) on the Remtoo LLC – Boston English Center platform to host and present their services. In addition to the content creation platform, Remtoo LLC – Boston English Center offers various supplementary services and tools, including payment gateways, author, and affiliate payouts. The entirety of these tools and services available through the Platform will be collectively referred to in these Terms as “Remtoo LLC – Boston English Center Services.”

4 – Ownership of Intellectual Property and Data Terms

In the functioning of our Platform, it is crucial to define ownership and responsibilities. Acknowledging the trust you place in us with your content, Remtoo LLC – Boston English Center is committed to promoting transparency. Our objective is to streamline the comprehension of ownership and responsibilities within the Remtoo LLC – Boston English Center community, ensuring clarity as you become a part of the Remtoo LLC – Boston English Center community.

4.1 Data Processing by Educators

Educators are responsible for safeguarding all personal information they provide to, or receive from, Remtoo LLC – Boston English Center in connection with the use of Remtoo LLC – Boston English Center Services. Remtoo LLC – Boston English Center’s Data Processing Agreement (“DPA”) is an integral part of these Terms, outlining the responsibilities of Remtoo LLC – Boston English Center and Educators regarding the handling of personal information. Educators commit to adhering to the DPA when and as far as Data Protection Laws are applicable to an Educator’s use of Remtoo LLC – Boston English Center Services to handle Student Data or Educator Data (as defined in the DPA).

Creators are designated as controllers or “owners” of the personal information they collect from and about Students. In addition to consenting to the provisions of the DPA, Creators are responsible for providing an appropriate privacy notice to their Students. This includes respecting their Students’ privacy rights in accordance with applicable law and ensuring access to or deletion of Students’ personal information upon request and as mandated by applicable law.

4.2 Providing Feedback

You have the option, or we may extend an invitation to you, to share suggestions, recommendations, enhancement requests, or other feedback about Remtoo LLC – Boston English Center Services or the Platform (“Feedback”). When you submit any Feedback, you acknowledge that such Feedback is voluntary, unsolicited, and without constraints. You grant us a royalty-free, global, transferable, sublicensable, irrevocable, perpetual license to use or integrate any Feedback into Remtoo LLC – Boston English Center Services and/or the Platform. We actively assess Feedback for novel ideas. If you want to retain any interest you might have in your Feedback, it is advisable not to post them to the Platform or send them to us.

4.3 Your Contributions

The Remtoo LLC – Boston English Center Platform may include features allowing you to post, upload, or transmit content intended for viewing by other users (“Contributions”). For example, Creators participating in Remtoo LLC – Boston English Center platform may submit Contributions to other members of the Remtoo LLC – Boston English Center community. It’s important to note that Contributions are distinct from User Content (including Creator Content).

By presenting Contributions on the Remtoo LLC – Boston English Center Platform, you grant Remtoo LLC – Boston English Center a perpetual, irrevocable, royalty-free, global, non-exclusive right and license. This includes the authority to grant sublicenses to third parties, to use, reproduce, publicly display, publicly perform, create derivative works from, and distribute your Contributions for any purpose. Remtoo LLC – Boston English Center retains the right to exercise all copyright, publicity, and moral rights in any media concerning your Contributions.

4.4 Your Possessions

Any information, data, or material created by you and uploaded or transmitted through the Remtoo LLC – Boston English Center Platform, including Creator Content (“User Content”), remains exclusively under your ownership. Remtoo LLC – Boston English Center does not assert any intellectual property rights associated with User Content as a result of your use of the Platform and/or Remtoo LLC – Boston English Center Services.

Upon uploading User Content to the Remtoo LLC – Boston English Center Platform, you acknowledge the following:

Remtoo LLC – Boston English Center retains the right to examine User Content for any reason, ensuring compliance with our Code of Conduct and content restrictions. However, there is no obligation to review every item you upload.

You upload User Content to the Remtoo LLC – Boston English Center Platform under your direction, and Remtoo LLC – Boston English Center neither certifies nor grants approval or permission prior to your uploading of User Content.

Remtoo LLC – Boston English Center may display User Content to other users (e.g., your Students) via the Remtoo LLC – Boston English Center Platform for the purpose of delivering Remtoo LLC – Boston English Center Services.

By uploading User Content to our Platform, you grant us the authority to store your User Content.

You commit to providing Remtoo LLC – Boston English Center with all necessary licenses, including a global, non-exclusive, royalty-free, sublicensable, and transferable license to use (e.g., display or transmit) User Content in the furtherance of Remtoo LLC – Boston English Center Services. Essentially, because you own your content, you provide us with permission to showcase it or use it for internal operational purposes, such as storing it on our servers.

You are responsible for and possess, or hold the rights to use, all of your User Content.

4.5 Remtoo LLC – Boston English Center’s Ownership

All rights, titles, and interests associated with the Platform, including information, software, technology, data, applications, logos, marks, designs, text, graphics, pictures, audio and video files, other data, or copyrightable materials, and their arrangement, collectively referred to as “Remtoo LLC – Boston English Center Content,” are the exclusive property of Remtoo LLC – Boston English Center and its licensors. These assets are protected by intellectual property rights both in the United States and globally.

Your use of the Platform under these Terms does not confer additional rights in the Platform or the ownership of any intellectual property rights associated with it. This includes, without limitation, any rights to use Remtoo LLC – Boston English Center’s trademarks, logos, domain names, and other distinctive brand features. Subject to your compliance with and the limitations specified in these Terms, Remtoo LLC – Boston English Center grants you a restricted, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Platform and/or Remtoo LLC – Boston English Center Services for personal and commercial purposes.

While interacting with the Platform and/or Remtoo LLC – Boston English Center Services, you agree not to:

Authorize, sublicense, sell, lease, or otherwise permit third parties to use the Platform without Remtoo LLC – Boston English Center’s explicit written consent (this license is solely for your use and may not be assigned to others without our permission).

Bypass or deactivate any security or other technological features or measures of the Platform.

Duplicate, modify, create derivative works from, decompile, reverse engineer, disassemble, or attempt to uncover any source code or components of the Platform, or exploit the Platform to compete with Remtoo LLC – Boston English Center.

Engage in any activity that could disrupt, harm, or damage the Platform and/or Remtoo LLC – Boston English Center Services.

All rights not explicitly granted by Remtoo LLC – Boston English Center are reserved.

4.6 Non-Infringing Content

You affirm that your User Content and/or Contributions do not infringe upon the intellectual property rights of any third party. You assert that you have acquired all necessary rights and permissions from any third parties who may own the content.

In simpler terms, this means that if you incorporate someone else’s work (including videos, text, charts, PowerPoint presentations, etc.) into your User Content or Contributions, you have obtained the owner’s consent to use it. Just as you wouldn’t want someone selling your User Content without permission, ensure you can demonstrate the right to use any content you didn’t create before including it in your User Content.

5 – Prohibited Conduct Guidelines

Setting clear guidelines is imperative. Although many aspects of the following code may appear self-evident, it is crucial to explicitly articulate expectations for behavior on our Platform rather than assuming universal awareness. In the event of a breach of this Code of Conduct, we reserve the right to expel you and remove any of your User Content from the Remtoo LLC – Boston English Center Platform. The assessment of whether conduct contravenes our Code of Conduct will be made at the sole discretion of Remtoo LLC – Boston English Center.

5.1 Intended Use Only

The Platform and any User Content it contains may only be used for purposes intended and not for any other unauthorized purposes.

5.2 Prohibition of Prohibited Content

Utilizing the Platform is not permitted if your User Content contains material that is libelous, slanderous, pornographic, obscene, unlawful, threatening, hateful, violent, predatory, defamatory, or otherwise objectionable. The assessment of such content will be at our sole discretion.

5.3 Prohibition of Impersonation

While imitation may be considered flattering, it’s not acceptable when it involves falsely representing yourself as part of Remtoo LLC – Boston English Center. You are expressly forbidden from impersonating anyone on the Remtoo LLC – Boston English Center Platform, including Remtoo LLC – Boston English Center (and its employees), Creators, and Students.

5.4 Prohibition of Data Mining or Bots

The use of data mining, robots, or any similar data gathering or extraction methods is strictly prohibited on the Remtoo LLC – Boston English Center Platform.

5.5 Civility Requiremen

This is crucial. As an open platform encompassing a diverse range of subject matters, not all Creator Content may be suitable for everyone. However, one shared commitment we all agree upon when using the Remtoo LLC – Boston English Center Platform is to maintain civility and respect at all times.

5.6 Prohibition of Exploitation

Using the Remtoo LLC – Boston English Center Platform to attempt to collect personal information on anyone, except for the limited permissible uses for offering or accessing User Content, is strictly prohibited

5.7 Prohibition of Spam

Certainly. Nobody appreciates spam. We don’t, and we’re quite confident you don’t want your inbox inundated with it either. Hence, you are not allowed to use the Remtoo LLC – Boston English Center Platform for engaging in any activities that result in sending spam to anyone on the Remtoo LLC – Boston English Center Platform, including Remtoo LLC – Boston English Center (and its employees), Creators, and Students.

5.8 Prohibition of Illegal Activity

This rule is clear-cut: refrain from using the Remtoo LLC – Boston English Center Platform for any illegal activities, Period.

You are forbidden from participating in any actions on our Platform that contravene any relevant federal, state, local, or international law or regulation. This includes, but is not limited to, laws concerning the export of data or software to and from the US or other countries.

5.9 Prohibition of Misconduct

Refrain from using the Remtoo LLC – Boston English Center Platform to transmit, distribute, send, or introduce viruses, worms, or any other code that may be deemed dangerous, harmful, or destructive in any way, posing a threat to the Platform or its Users.

5.10 Prohibition of Fraud

While this aspect may be implicit in the “No Illegal Activity” section above, we wish to underscore this point unequivocally: Fraud will not be tolerated in any form.

6 – Intellectual Property Infringements

6.1 Violation of Trademarks

Remtoo LLC – Boston English Center retains the authority to revoke access to content that it is aware of or has credible grounds to believe infringes upon the rights of trademark owners. It’s important to acknowledge that Remtoo LLC – Boston English Center will forward a duplicate of any claims of trademark infringement to the user responsible for posting the content flagged as infringing.

6.2 Copyright Infringements and the DMCA

If Remtoo LLC – Boston English Center has a bona fide belief that any content (including Creator Content) displayed on its Platform violates any copyrights or has been illicitly copyrighted, Remtoo LLC – Boston English Center reserves the right to remove, block, or otherwise ‘take down’ the content. Remtoo LLC – Boston English Center also retains the right to expel from the Platform any Creators, Students, or other entities who are repeat violators of the Remtoo LLC – Boston English Center repeat offender policy.

Repeated Infringements :

As previously stated, Remtoo LLC – Boston English Center strongly discourages the unauthorized use of intellectual property. If Remtoo LLC – Boston English Center receives two or more complaints regarding any Creator, Remtoo LLC – Boston English Center reserves the right to expel that Creator from the Remtoo LLC – Boston English Center Platform without additional forewarning. It is crucial to understand that this Repeat Infringement section does not alter Remtoo LLC – Boston English Center’s right to expel any school at any time for any reason, as outlined in our Remtoo LLC – Boston English Center Rights section.

7 – Remtoo LLC – Boston English Center’s General Authority in Operating Its Platform

7.1 Modification of Terms

Remtoo LLC – Boston English Center possesses an absolute right, at its sole discretion, to modify, change, alter, suspend, or terminate any provision of these Terms without advance notice at any time.

7.2 Modification and Termination

Remtoo LLC – Boston English Center reserves the right to modify, terminate, or decline to offer Remtoo LLC – Boston English Center Services at any time and for any reason, without prior notice.

7.3 Access to Account and Content

Remtoo LLC – Boston English Center reserves the right to access your account, school, and User Content for responding to technical support requests, maintaining the safety and security of the Remtoo LLC – Boston English Center Platform, and for other legitimate business purposes, as deemed necessary in Remtoo LLC – Boston English Center’s discretion.

7.4 Expulsion Rights

Remtoo LLC – Boston English Center retains the authority to expel any individual from the Remtoo LLC – Boston English Center Platform at any time and for any reason, at its sole discretion. This right remains unaffected by any other section of these Terms.

7.5 Retention of User Content Post-Termination

If you close your account or terminate your school, Remtoo LLC – Boston English Center may retain a copy of your User Content post-termination. You grant Remtoo LLC – Boston English Center a non-exclusive, perpetual, irrevocable license to preserve such archival copies for compliance with relevant laws, regulations, and internal business purposes, subject to applicable law.

7.6 Monitoring of User Content and Conduct

Remtoo LLC – Boston English Center may, at its discretion, monitor any User Content visible on the Remtoo LLC – Boston English Center Platform or scrutinize any conduct transpiring through the Platform. This includes interactions between Creators and Students, as well as Remtoo LLC – Boston English Center employees.

7.7 Removal for Violation

Remtoo LLC – Boston English Center reserves the right to promptly remove you and your User Content if you violate any provisions of these Terms.

7.8 Refund Policy Modification

Remtoo LLC – Boston English Center maintains the right to modify, suspend, or adjust its refund policy, exercising sole discretion.

8 – Artificial Intelligence (AI) Services

Remtoo LLC – Boston English Center may provide you with access to AI services, such as AI-generated course outlines, powered by the services of Open AI, LLC (“OpenAI”). Your usage of these AI services signifies your acceptance and commitment to adhere to OpenAI’s API Terms of Use and other Policies (the “Open AI Terms”). These are legal agreements directly between you and OpenAI. It’s crucial to understand that Remtoo LLC – Boston English Center assumes no liability to you regarding the OpenAI terms. In case of any inconsistencies between the Conditions and OpenAI’s Terms, the Remtoo LLC – Boston English Center Terms shall prevail.

9 – Remtoo LLC – Boston English Center API Services

The Remtoo LLC – Boston English Center Platform incorporates Remtoo LLC – Boston English Center APIs (“API” or “APIs”), providing a powerful solution that empowers Creators to access and interact with data pertinent to their Remtoo LLC – Boston English Center business. These APIs offer Creators flexibility, enabling them to retrieve information on school performance, including sales, enrollments, and student engagement, at their convenience. Moreover, APIs empower Creators to develop customized products for the end users of their Remtoo LLC – Boston English Center schools, specifically the “Students.”

9.1 Extra Charges for Remtoo LLC – Boston English Center APIs

You recognize and consent that no extra license fees or additional payments will be required for Remtoo LLC – Boston English Center APIs in return for the privileges bestowed under the Terms. You recognize and consent that this fee structure is established in contemplation of the mutual commitments articulated in the Terms, encompassing, but not confined to, the disclaimers, exclusions, and limitations of liability delineated herein.

9.2 Remtoo LLC – Boston English Center Authorization

Subject to and contingent upon your adherence to all stipulations outlined in the Terms, we herewith confer upon you a restricted, revocable, non-exclusive, non-transferable, and non-sublicensable license to: (a) employ the API exclusively for your internal business objectives in formulating Your Applications designed to communicate and interoperate with the Remtoo LLC – Boston English Center Offering; and (b) showcase specific Remtoo LLC – Boston English Center Identifiers in accordance with usage directives that we may specify periodically, solely in conjunction with the utilization of the API and the Applications. It is recognized that no implicit licenses are extended under this section of the Terms. We retain all rights not explicitly granted. Without our prior written consent, you may not deploy the API or any Remtoo LLC – Boston English Center Identifier for any alternative purpose. To use and access the API, you must acquire an API Key through the registration process. Your API Key must not be shared with any third party, should be safeguarded along with all login details, and must be utilized as the exclusive means of accessing the API. We reserve the right to revoke your API Key at any given time.

9.3 Absence of Assistance

The Terms do not grant you any entitlement to API support. You recognize that we reserve the right to periodically update or modify the API at our sole discretion, termed as an “Update,” and may mandate your adoption of the most recent API version. Updates might impact the communication between Your Applications and the Remtoo LLC – Boston English Center Offering. It is your responsibility to make any necessary alterations to the Applications for seamless integration prompted by such updates, incurring costs and expenses solely at your discretion. Your ongoing use of the API subsequent to an Update signifies your conclusive acceptance of the Update.

9.4 Use Limitations for Remtoo LLC – Boston English Center Services

Unless explicitly sanctioned in the Terms, you are prohibited from: (a) expunging any proprietary notifications from the API; (b) employing the API in any fashion or for any intention that infringes, misappropriates, or otherwise transgresses any intellectual property right or other entitlement of any individual, or contravenes any applicable law; (c) amalgamating or incorporating the API with any software, technology, services, or materials not endorsed by Remtoo LLC – Boston English Center; (d) fashioning or allowing Your Applications to deactivate, override, or otherwise disrupt any Remtoo LLC – Boston English Center-implemented communications to end users, consent screens, user settings, alerts, warnings, or similar elements; (e) utilizing the API within Your Applications to duplicate or endeavor to supplant the user experience of the Remtoo LLC – Boston English Center Offering; or (f) endeavoring to obscure or mask your identity or the identity of Your Applications while seeking authorization to use the API.

10 – Third-Party Communications

When utilizing Remtoo LLC – Boston English Center’s Platform, you may encounter communications from third parties (e.g., a Creator interacting with a Student). Remtoo LLC – Boston English Center bears no responsibility for these communications and disclaims any liability associated with them. It is your sole responsibility to evaluate and confirm the identity and reliability of the source and content of any third-party communications. Remtoo LLC – Boston English Center does not undertake the verification and provides no assurances or guarantees concerning the identity or reliability of the source or content of any third-party communications.

11 – Taxes

Laws regarding the collection, reporting, and remittance of sales and use taxes, value-added taxes, and other similar state, local, and foreign taxes are complex. This section outlines Remtoo LLC – Boston English Center’s practices regarding these tax requirements, subject to change, without notice, and potentially with retroactive effect.

Depending on the laws of relevant jurisdictions, Creator Content sold by Developers to Users through the Remtoo LLC – Boston English Center platform may be subject to tax. The rate and amount of tax depend on factors considered by Remtoo LLC – Boston English Center, including the identity of the Developer/User, type of course or service purchased, payment gateway used, and the location of the Developer/User.

11.1 General Application of Sales Taxes in the United States

Remtoo LLC – Boston English Center will assess whether a transaction is subject to tax based on state laws. It will compute, collect, report, and remit any sales taxes collected directly to the state. Developers may be required to submit their own tax filings. Creators are responsible for collecting, reporting, and remitting tax for the sale of Creator Content directly to Users. Remtoo LLC – Boston English Center handles tax on specific transactions in certain countries, with the Creator’s responsibility specified.

Fees from Remtoo LLC – Boston English Center Subscription Plans:

Remtoo LLC – Boston English Center may collect sales tax from Developers on subscription fees. Developers can furnish tax-related information to avoid tax charges.

Fees from the Sale of Creator Content

Remtoo LLC – Boston English Center may be deemed a “marketplace facilitator” for third-party sales through its Native Payment Gateways, making Remtoo LLC – Boston English Center responsible for sales tax. Custom Payment Gateway users are solely responsible for tax

11.2 General Application of Taxes Outside of the United States

Creators are responsible for collecting, reporting, and remitting tax for the sale of Creator Content directly to Users. Remtoo LLC – Boston English Center handles tax on specific transactions in certain countries, with the Creator’s responsibility specified.

11.3 Tax Indemnification

Developers indemnify Remtoo LLC – Boston English Center against claims related to federal, state, county, city, foreign, or other tax obligations. Indemnification rights survive termination of the Terms.

12 – Payment Terms and Conditions

Customer agrees to pay all amounts due for the Products at the time of the order. All amounts are non-refundable unless otherwise noted in the Money Back Guarantee.

Remtoo LLC – Boston English Center reserves the right to change its prices and fees at any time, and such changes shall be posted on the Website and/or within a Customer Account, effective immediately without further notice to the Customer. Any pricing dispute shall be controlled by the pricing listed in a Customer Account, effective immediately without the need for further notice to the Customer. If the Customer purchased or obtained the Products for a period of months or years, changes in prices and fees shall be effective when the respective Products renew.

Any Product fees may not include any applicable sales, use, revenue, excise, or other taxes imposed by any taxing authority (excluding any tax on Remtoo LLC – Boston English Center’s net income). All such taxes may be added to Remtoo LLC – Boston English Center’s invoices for the fees as separate charges to be paid by the Customer. All fees are fully earned when due and subject to Remtoo LLC – Boston English Center’s refund policy when paid to Remtoo LLC – Boston English Center.

Unless otherwise specified, the Customer agrees to pay all fees and related charges due and payable within thirty (30) days after the date of the invoice (“Due Date”), unless otherwise stated in the Customer Account. If any invoice is not paid within seven (7) days after the Due Date, Remtoo LLC – Boston English Center may charge the Customer a late fee of $25.00, in addition to any amounts payable to Remtoo LLC – Boston English Center.

If Remtoo LLC – Boston English Center collects any payment due by law, through an attorney, under advice from an attorney, or through a collection agency, or if Remtoo LLC – Boston English Center prevails in any action to which the Customer and Remtoo LLC – Boston English Center are parties, the Customer agrees to pay all costs of collection, arbitration, and litigation, including, without limitation, all court costs and Remtoo LLC – Boston English Center’s reasonable attorneys’ fees.

If any Customer payment is returned for insufficient funds, Remtoo LLC – Boston English Center may impose a minimum processing charge of $25.00, which the Customer agrees to pay.

In the event that any amount due to Remtoo LLC – Boston English Center remains unpaid seven (7) days after the payment is due, Remtoo LLC – Boston English Center, in its sole discretion, may immediately terminate the Agreements and/or terminate, suspend, or cancel the Products.

The Customer agrees to pay a minimum charge of $50.00 to reinstate a Customer Account that has been suspended or terminated.

The Customer agrees to pay wire transfers of $35.00 per wire transfer.

The Customer agrees to pay a charge of $35.00 for all credit card chargebacks.

12.1 Remtoo LLC – Boston English Center’s Automatic Renewal and Billing Policies

Other than as required by applicable law, Remtoo LLC – Boston English Center does not retain hard copies or electronic versions of mandates, standing orders, or standing instruction forms and/or any signed consents relating to a Customer’s payment or usage of Remtoo LLC – Boston English Center automatic renewal services, and Remtoo LLC – Boston English Center is therefore unable to provide any such document upon request.

In order to ensure that the Customer does not experience an interruption or loss of access to the Products, the Products are offered on an automatic renewal basis. Except for reasons described below in this section, automatic renewal renews the applicable Product upon expiration of the then-current term for a renewal period equal in time to the most recent service term period.

Unless the Customer disables the automatic renewal option in the Customer Account, Remtoo LLC – Boston English Center will automatically renew the applicable Product when it comes up for renewal and will take payment from any payment method the Customer has on file with Remtoo LLC – Boston English Center at Remtoo LLC – Boston English Center’s then-current rates, which the Customer acknowledges and agrees may be higher or lower than the rates for the initial or renewal term. In order to see the renewal settings applicable to the Customer and the Products, the Customer will need to log into the Customer Account. If the Customer does not want any service to automatically renew, the Customer may elect to cancel such renewal, in which case, the services will terminate upon expiration of the then-current term unless the Customer manually renews the Products before that date (in which case the Products will again be set to automatic renewal). For avoidance of any doubt, should the Customer elect to cancel the Products and fail to manually renew the Products before expiration of the then-current term, the Customer may experience an interruption or loss of access to the Products and loss of Customer content, and Remtoo LLC – Boston English Center shall not be liable to the Customer or any third party regarding such interruption or loss.

In an effort to ensure the successful renewal of a Customer domain name and/or Secure Sockets Layer (“SSL”) registration, Remtoo LLC – Boston English Center may process the renewal charges up to two (2) weeks (or more as necessary) in advance of the Customer’s expiration date unless the Customer explicitly requests in writing otherwise.

Remtoo LLC – Boston English Center may participate in “Recurring Billing Programs” or “Account Updater Services” supported by the Customer’s credit card provider (and ultimately dependent on the Customer’s bank’s participation). If Remtoo LLC – Boston English Center is unable to successfully charge the Customer’s existing payment method, the Customer’s credit card provider (or the Customer’s bank) may notify Remtoo LLC – Boston English Center of updates to the Customer’s credit card number and/or expiration date, or may automatically charge the Customer’s new credit card on Remtoo LLC – Boston English Center’s behalf without notification to Remtoo LLC – Boston English Center. In accordance with any recurring billing program requirements, in the event that Remtoo LLC – Boston English Center is notified of an update to the Customer’s credit card number and/or expiration date, Remtoo LLC – Boston English Center may automatically update the Customer’s payment profile on the Customer’s behalf. Remtoo LLC – Boston English Center makes no guarantees that Remtoo LLC – Boston English Center will request or receive the Customer’s updated credit card information. The Customer acknowledges and agrees that it is the Customer’s sole responsibility to modify and maintain the account settings, including but not limited to canceling the services; and ensuring the Customer’s associated payment method(s) are current and valid. Further, the Customer acknowledges and agrees that the Customer’s failure to do so may result in the interruption or loss of the services, and Remtoo LLC – Boston English Center shall not be liable to the Customer or any third party regarding such interruption or loss.

If for any reason Remtoo LLC – Boston English Center is unable to charge the Customer’s payment method for the full amount owed, or if Remtoo LLC – Boston English Center receives notification of a chargeback, reversal, payment dispute, or is charged a penalty for any fee it previously charged to the Customer’s payment method, the Customer agrees that Remtoo LLC – Boston English Center may pursue all available lawful remedies in order to obtain payment, including but not limited to, immediate cancellation of the Products, without notice to the Customer. Remtoo LLC – Boston English Center also reserves the right to charge the Customer reasonable “administrative fees” for tasks Remtoo LLC – Boston English Center may perform outside the normal scope of its Products; additional time and/or costs Remtoo LLC – Boston English Center may incur in providing the Products; and/or the Customer’s noncompliance with the Agreements (as determined by Remtoo LLC – Boston English Center in its sole and absolute discretion).

Typical administrative or processing fee scenarios include but are not limited to Customer service issues that require additional personal time or attention; recouping any and all costs and fees, including the cost of the Products, incurred by Remtoo LLC – Boston English Center as the result of chargebacks, reversals, payment disputes, penalties, or other payment disputes brought by the Customer, Customer bank, or Customer payment method processor. These administrative fees or processing fees will be billed to the payment method the Customer has on file in the Customer Account. Remtoo LLC – Boston English Center may offer pricing in various currencies. The transaction(s) will be processed in the selected currency, and the pricing displayed during the checkout process will be the actual amount submitted for payment. For certain payment methods, the issuer of the Customer’s payment method may charge the Customer a foreign transaction fee or other charge(s), which may be added to the final amount that appears on the Customer’s bank statement or post as a separate amount. The Customer should check with the issuer of the Customer’s payment method for details. In addition, regardless of the selected currency, the Customer acknowledges and agrees that the Customer may be charged Value Added Tax (“VAT”), Goods and Services Tax (“GST”), or other localized fees and/or taxes, based on the Customer’s bank and/or the country indicated in the Customer’s billing address section in the Customer Account.

12.2 Negative Balance Collections

Under specific circumstances, including, but not limited to, refunds and chargebacks, you may accumulate negative balances on your Account. If you cannot resolve such negative balances directly with Remtoo LLC – Boston English Center within a period determined solely by Remtoo LLC – Boston English Center in adherence to the Federal Debt Collections Practice Act and other applicable laws, you hereby authorize Remtoo LLC – Boston English Center to designate a collections agency solely for the limited purpose of recovering such negative balances on your Account. You agree to cover all costs and expenses, including, but not limited to, attorneys’ fees, legal expenses, collections agency fees, and other collections fees, incurred by or on behalf of Remtoo LLC – Boston English Center in connection with the collection of any amounts due to Remtoo LLC – Boston English Center under these Terms that remain unpaid by you. Remtoo LLC – Boston English Center will send the debt out for collection to a collection agency no sooner than 90 days after payment is due.

12.3 Remtoo LLC – Boston English Center payment Gateways

To ensure clarity, the term Remtoo LLC – Boston English Center Payment Gateways includes both Remtoo LLC – Boston English Center Payments and the Monthly Payments Gateway.

Appointment of Remtoo LLC – Boston English Center as a Limited Payment Collection Agent for Remtoo LLC – Boston English Center Payment Gateways: Every Content Creator, receiving payments for services provided on the Remtoo LLC – Boston English Center platform through Remtoo LLC – Boston English Center Payment Gateways, hereby appoints Remtoo LLC – Boston English Center as the payment collection agent solely for the specific purpose of receiving funds from Students purchasing these services.

Each Creator recognizes that payments made by a Student through Remtoo LLC – Boston English Center Payment Gateways are considered payments directly made to the Creator. The Creator commits to delivering the purchased services to the Student as agreed, treating the payment as if received directly from the Student. The Creator understands that Remtoo LLC – Boston English Center may refund the Student in adherence to the Terms. The Creator’s entitlement to payment from Remtoo LLC – Boston English Center is subject to the successful receipt of associated payments from Students. Remtoo LLC – Boston English Center assures payments to Creators only for amounts successfully received from Students; Remtoo LLC – Boston English Center will deduct its fees and commission in accordance with these Terms. Payment to the Creator will occur after the trial period or the pending period, depending on the length and nature of the service. By accepting the limited payment collection agent role, Remtoo LLC – Boston English Center assumes no liability for the Creator’s actions or omissions.

12.4 Custom Payment Gateway (CPG) for Professional, Business, and Enterprise Plans

Creators on the Professional, Business, and Enterprise plans within the Remtoo LLC – Boston English Center ecosystem have the option to configure a Custom Payment Gateway (CPG) to facilitate transactions with Users. These transactions, conducted through a third-party payment gateway, fall beyond the scope of your association with Remtoo LLC – Boston English Center.

You acknowledge that your CPG service is an external third-party payment service and is not an integral part of the Remtoo LLC – Boston English Center Services. Payouts are administered in accordance with the policies and procedures of the third-party payment service and are not subject to any of Remtoo LLC – Boston English Center’s policies and procedures related to payments, including the refund policy or payment hold.

12.5 Third-Party Agreement

As part of the Remtoo LLC – Boston English Center Payments setup, you may be required to accept the terms of service presented by Stripe, PayPal, or any other payment gateways available on the Remtoo LLC – Boston English Center platform. It is crucial to recognize that Stripe, PayPal, and other payment gateways are independent entities separate from Remtoo LLC – Boston English Center, and Remtoo LLC – Boston English Center takes no responsibility for the content of their terms of service. In the event that the terms of service provided by these payment gateways deviate from these Terms, such distinctions shall not alter these Terms in any manner.

12.6 Reserve Policy

When utilizing Remtoo LLC – Boston English Center Payments, you acknowledge and agree that Remtoo LLC – Boston English Center may reserve a portion of your school sales for a designated period to offset potential losses, chargebacks, refunds, etc. The reserve amount and duration are subject to modifications at Remtoo LLC – Boston English Center’s sole discretion. In the event of changes, Remtoo LLC – Boston English Center will make reasonable efforts to update the Knowledge Base page to communicate such adjustments.

12.7 Monthly Payment Gateway

Remtoo LLC – Boston English Center creators and schools also have the option to leverage the Monthly Payments Gateway for processing credit card or debit card transactions, or using PayPal as a payment alternative. The Monthly Payment Gateway is accessible wherever PayPal or Stripe accounts are available, and its availability is subject to any limitations imposed by PayPal or Stripe.

12.8 Fees for Remtoo LLC – Boston English Center Payments

All Remtoo LLC – Boston English Center Payment gateway fees will be deducted before transferring funds to the Creator. The fees associated with Remtoo LLC – Boston English Center Payments are subject to change at Remtoo LLC – Boston English Center’s sole discretion, and by utilizing Remtoo LLC – Boston English Center Payments, you express agreement with the fees as determined by Remtoo LLC – Boston English Center.

12.9 Remtoo LLC – Boston English Center Subscription Fees

Remtoo LLC – Boston English Center Plans are billed on a subscription basis. Users opting for a paid Remtoo LLC – Boston English Center Plan will be charged in advance on a monthly or annual cycle, depending on the selected plan. Payment is charged at the confirmation of purchase and the beginning of each billing cycle. Plans automatically renew unless canceled before the billing cycle ends. Upon cancellation, access terminates, and no charges apply for the next cycle.

12.10 Pricing

The pricing for Remtoo LLC – Boston English Center Plans is detailed on the pricing page. Remtoo LLC – Boston English Center may alter plan prices and communicates changes in advance. Changes take effect at the next subscription period. Users can reject changes by canceling before they apply.

12.11 Transaction Fees

Remtoo LLC – Boston English Center may charge transaction fees, covering per-transaction integration fees for Custom Payment Gateways. Users agree to pay all associated fees and charges and are solely responsible for payment. Changes to transaction or implementation fees may occur during a subscription with reasonable notice.

12.12 Additional Services

Remtoo LLC – Boston English Center may introduce additional services during a subscription, incurring extra fees.

12.13 Payment Authorization

Failure to authorize payment or remain current may lead to restricted platform access. Remtoo LLC – Boston English Center may pursue owed fees through various methods, including charging other payment methods on file or involving collection agencies/legal counsel.

12.14 Custom Plans

Remtoo LLC – Boston English Center has the right to offer custom plans with different pricing and billing terms. Custom plans may include unique billing periods and renewals beyond standard terms.

12.15 Pricing of Creator Content

Remtoo LLC – Boston English Center explicitly states that it is not responsible for determining the pricing of Creator Content. The prices for Creator Content are solely set by the individual Creators.

12.16 Refund Policy

Remtoo LLC – Boston English Center has established a comprehensive Refund Policy covering various aspects of its services

12.17 Abuse of the Refund Policy

Remtoo LLC – Boston English Center maintains the right to deny refunds to Creators who abuse the Refund Policy, including instances of requesting refunds for multiple schools or consecutive monthly requests.

12.18 Refund Policy for Sales of Creator Content to Students

Courses: Students purchasing courses through Remtoo LLC – Boston English Center Native Gateways are entitled to a seven (7 ) day full refund, unless authorized differently by Remtoo LLC – Boston English Center.

Coaching: Creators are responsible for setting refund policies for Coaching offerings, and Remtoo LLC – Boston English Center’s refund policy does not cover Coaching. Digital Downloads: Creators set refund policies for digital downloads, and Remtoo LLC – Boston English Center’s refund policy doesn’t cover them.

Bundled Products: Refund policies for bundled packages depend on the type of content included (courses, coaching, digital downloads, or a combination).

Subscription Refunds: Students purchasing subscriptions can terminate within seven days of the initial payment for a full refund.

General Provisions: Users must understand the refund policy for creator content before making a purchase. Remtoo LLC – Boston English Center reserves the right to provide refunds at its sole discretion. This policy ensures clarity for both Creators and Students while providing reasonable timeframes for refund requests.

13 – No Refund Policy

Thank you for choosing Remtoo LLC – Boston English Center. We are committed to providing high-quality English language education and services. To ensure clarity and mutual understanding, we have established the following No Refund Policy.

13.1 General Policy

All sales are final. We do not offer refunds for any purchases, including but not limited to:

Course fees (including one-on-one and group sessions)
Subscriptions or memberships

By completing your purchase, you acknowledge and agree to this policy.

13.2 Exceptions

Refunds will only be considered under the following exceptional circumstances:

Duplicate Payments: If a customer accidentally makes a duplicate payment, the duplicate amount will be refunded upon verification.

14 – Certificate of Completion Policy

Remtoo LLC – Boston English Center issues Certificates of Completion to students who successfully complete their course and meet the requirements outlined below. The certificate serves as proof of course completion and is for personal, educational, or professional development purposes only:

14.1 Eligibility

To receive a Certificate of Completion from Remtoo LLC – Boston English Center, students must:

• Successfully complete all required coursework
• Pass the final exam for their specific course or level.

14.2 Final Exam Requirement

• The final exam must be taken online through the official Remtoo LLC – Boston English Center system.
• Exams taken outside the official system or not completed will not qualify for a certificate.

14.3 Certificate Issuance

• Certificates are issued automatically upon successful completion of the final exam.
• Students are responsible for downloading and saving their certificate immediately.
• Certificates are not stored permanently in our system. If a student retakes an exam, the previous certificate is automatically deleted and replaced with the new certificate for the new level achieved.
• No duplicate or replacement certificates will be issued. If lost, students may retake a placement test to verify their level.

14.4 Certificate Format

• Certificates are provided in digital format (PDF) only.
• Students may print their certificate themselves if desired.
• Remtoo LLC – Boston English Center does not provide printed certificates.

14.5 Validity and Accreditation

• The Certificate of Completion is not accredited by any state, government, or educational body.
• It serves only as proof of completing a specific course level at Remtoo LLC – Boston English Center.
• The certificate cannot be used for visa applications, college admissions, or formal academic/professional accreditation.

14.6 Use of Certificates

• Certificates may be used for personal achievement, professional development, or educational record-keeping.
• Misrepresentation of the certificate for academic or professional gain is strictly prohibited.

14.7 Expiration

• Certificates do not expire.
• The course content and level reflect the period of completion.

14.8 Student Responsibility

• Students must ensure that their account information and email address are accurate to receive their certificate.
• Lost or unclaimed certificates cannot be reissued.

14.9 Privacy and Security

• Certificates are tied to the student’s account and are non-transferable.
• Any attempt to falsify, edit, or manipulate a certificate may result in revocation by Remtoo LLC – Boston English Center.

15 – Errors and Corrections

Remtoo LLC – Boston English Center does not provide a guarantee that the Platform or any services offered through it will be error-free or consistently reliable.

Additionally: Remtoo LLC – Boston English Center does not ensure that defects will be corrected promptly or that access to offerings through the Platform will always be uninterrupted.

mprovements or changes to the Platform, including features and functionality, may be made by Remtoo LLC – Boston English Center at any time. Commercially reasonable efforts will be made to minimize disruptions during peak hours, but some downtime may occur.

Errors in Content are the responsibility of the Creator who owns that Content. Remtoo LLC – Boston English Center reserves the right to amend the Platform, its services, or any provided material on the Platform at its sole discretion, without prior notice.

Remtoo LLC – Boston English Center will not be held liable if any part or the entire Platform becomes unavailable for any reason or duration. Temporary access restrictions may be imposed on Creators and Students from time to time.

16 – Limitations of Liability

In using the Remtoo LLC – Boston English Center Platform, it’s important to understand and agree to the following limitations of liability.

General Liability: Remtoo LLC – Boston English Center, including its employees, officers, directors, and agents, shall not be liable for any loss, injury, claim, or damages resulting from Your use of the Remtoo LLC – Boston English Center Platform.

Third-Party Content: Remtoo LLC – Boston English Center is not liable for injuries, losses, claims, or damages resulting from Your use or engagement with third-party content, downloads, or communications.

Gifts of Remtoo LLC – Boston English Center Products: If sending gifts of Remtoo LLC – Boston English Center products, You are solely responsible for obtaining validation from the giftee. Remtoo LLC – Boston English Center is not liable for injuries, losses, claims, or damages resulting from a failure to obtain validation.

Malicious Computer Code: Remtoo LLC – Boston English Center is not liable for losses or damage caused by viruses, distributed denial of service attacks, or any other malicious computer code.

Platform Availability and Data Recovery: The Remtoo LLC – Boston English Center Platform is provided on an “As Is, As Available” basis. You agree to have an external method for recovering any lost data uploaded to the Remtoo LLC – Boston English Center Platform.

Warranties Disclaimer: Remtoo LLC – Boston English Center disclaims warranties for merchantability, fitness for a particular purpose, non-infringement, or title.

Indemnification: You agree to indemnify, defend, and hold harmless Remtoo LLC – Boston English Center and related parties from claims, losses, expenses, damages, and costs arising from Your violation of these Terms or Your use of the Platform.

Compliance with Applicable Law: You are solely responsible for ensuring Your use of the Platform complies with applicable law and does not violate third-party rights.

Limitation of Liability Amount: Remtoo LLC – Boston English Center’s liability, if applicable, is limited to the amounts paid by You to Remtoo LLC – Boston English Center over the prior twelve months preceding Your claim, unless otherwise required by law.

Statute of Limitations: Any cause of action or claim against Remtoo LLC – Boston English Center must be brought within one year after it arises, or it shall be barred.

Removal from the Platform: Remtoo LLC – Boston English Center may remove Creators and Students from the Platform in response to violations of the Terms.

Blocking Access: Remtoo LLC – Boston English Center has the right to block access to the Platform from a specific IP address or other user identifier associated with the violation.

Referral to Law Enforcement: Violations may be referred to the appropriate law enforcement authorities by Remtoo LLC – Boston English Center.

These remedies are in place to ensure compliance with the Terms and to address any actions that may harm the integrity or proper functioning of the Remtoo LLC – Boston English Center Platform.

18 – Cancellation and Deletion

18.1 Cancellation

If you cancel a paid Remtoo LLC – Boston English Center subscription plan, the cancellation takes effect at the end of the current billing cycle.

Upon cancellation, your account reverts to a free account, and access to features exclusive to paid plans may be disabled.

18.2 Deletion

You have the option to delete your account at any time.

Inactivity for at least six (6) months may result in the automatic deletion of free plan accounts, determined at Remtoo LLC – Boston English Center’s sole discretion.

Active status is maintained for paid plan accounts unless explicit deletion requests are made.

Upon account deletion, especially for free plans, your User Content may no longer be accessible, and Remtoo LLC – Boston English Center is not responsible for its loss.

All licenses granted by Remtoo LLC – Boston English Center terminate upon account deletion.

18.3 Effect of Cancellation/Deletion

Cancellation or deletion may result in the loss of access to Remtoo LLC – Boston English Center Content and User Content, including Creator Content.

Irretrievability of User Content, including Creator Content, may occur upon account deletion.

Remtoo LLC – Boston English Center is not liable for any claims, including interference with business or contractual relations, arising from the inability to access Remtoo LLC – Boston English Center Content or User Content post-cancellation or deletion.

19 – Governing Law and Jurisdiction; Disputes and Arbitration

16.1 : These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflicts of laws principles.

16.2 : The arbitration will be conducted in the County of Hudson NJ, unless You and Remtoo LLC – Boston English Center agree otherwise. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing in this section shall be deemed as preventing Remtoo LLC – Boston English Center from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, dilution, or violation of our data security, intellectual property rights, or other proprietary rights.

16.3 : You and Remtoo LLC – Boston English Center agree to waive the right to trial by jury. You further agree that any proceedings to resolve any disputes shall be done solely on an individual basis and that You will not seek to have any dispute heard as a class action, a representative action, a collective action, a private attorney-general action, or in any proceeding in which You act or propose to act in a representative capacity.

16.4 : You also agree that no proceeding will be joined, consolidated, or combined with another proceeding without the prior written consent of Remtoo LLC – Boston English Center and all parties to any such proceeding.
